This website, the Dealer Portal, and our social media pages and accounts (collectively, the ‘’Sites’’) are owned by Pascal International Inc. operating as Vallee Forestry Equipment. Your use of the Sites is subject to the following Terms & Conditions, and all applicable Canadian and international laws. In addition, where applicable, when you use services offered on the Sites, you may be subject to additional terms and conditions. By accessing and browsing the Sites, you accept these Terms & Conditions without limitation or qualification. If you do not agree with any of these Terms & Conditions, please stop all use of the Sites.

The Sites are controlled and operated by Vallee Forestry Equipment from Saint-Denis-de-Brompton in the Province of Quebec. These Terms & Conditions are governed by the laws of the Province of Quebec and the applicable laws of Canada, without reference to principles of conflict of laws. You agree to be bound by such laws and to submit to the jurisdiction of the courts of the Province of Quebec in connection with the interpretation or application of these Terms & Conditions.

Vallee Forestry Equipment makes no representation as to the relevance or availability of the elements appearing on the Sites. It is your responsibility to ensure that you have lawful access to the Sites and that material available on or through the Sites is lawful in each jurisdiction from which you access or view the Sites.

Vallee Forestry Equipment reserves the right to terminate the Terms & Conditions and/or your right to use the Sites, at any time, without reason and without notice, at its sole discretion. Vallee Forestry Equipment also reserves the right to exercise, if necessary, all appeals available by law in the event of a breach by a user of the Terms & Conditions of the Sites.

You agree not to introduce into or through the Sites any information or materials which may be harmful to others and, among other things, not to include in such materials or information, knowingly or otherwise, any errors or defects. You also agree not to interfere or attempt to interfere with the normal operation of the Sites.

Vallee Forestry Equipment may, in its sole discretion, move, refuse or eliminate any material available on the Site, including links from third parties. Without limiting the generality of the foregoing, Vallee Forestry Equipment may remove any material that is contrary to its guidelines or otherwise unacceptable.

Vallee Forestry Equipment may, at any time, modify or discontinue, temporarily or permanently, access to all or any part of the Sites, for any reason and without prior notice. Vallee Forestry Equipment may change any element, feature, or function of the Sites at any time without notice. Vallee Forestry Equipment may deny access to the Sites, or any portion of the Sites, without notice, due to unexpected technical issues or if Vallee Forestry Equipment believes, in its sole discretion, that your conduct or activities violate these Terms & Conditions, or other applicable terms, the rights of Vallee Forestry Equipment or any third party or are otherwise inappropriate. All services, materials, and information on the Sites are provided on an ‘’as is’’ or ‘’as available’’ basis, without warranty of any kind. Vallee Forestry Equipment, its licensors, officers, directors, agents, subsidiaries, employees, partners, successors, and assigns disclaim all warranties, or conditions, written or oral, statutory, express, or implied, including, but without limitation, warranties or conditions of merchantability or fitness for a particular purpose, non-infringement of intellectual property or third party rights and as to the accuracy or completeness of the information provided on the Sites. Vallee Forestry Equipment makes no disclosure or warranty regarding the functionality or condition of the Sites, its suitability for use and reliability, the availability of materials and information on the Sites, or concerning proprietary rights and non-infringement. Limitation of Liability

Vallee Forestry Equipment, its licensors, officers, directors, agents, subsidiaries, employees, partners, successors and assigns shall not be liable for any damages, whether direct, indirect, incidental, special or consequential, arising out of or in connection with the reliance upon, use or misuse of the Sites, the materials, products or services of any kind provided on or through the Sites, or inability to use them, delays in delivery or partial delivery, interruption or suspension of services, termination of rights or loss of profits, data, business opportunities or goodwill, whether such damages are based on contractual or extra-contractual liability, and they are not obligated to provide you or any third party with any indemnification or other remedy. Vallee Forestry Equipment’s Privacy Policy is a part of these Terms & Conditions, and you agree that the use of information as described in said Policy does not violate your rights of publicity and privacy.

You acknowledge that information or material which you provide electronically to Vallee Forestry Equipment by accessing or using the Sites does not infringe the rights of any person or entity and is not confidential or proprietary, except as may be required under applicable law, and acknowledge that unprotected e-mail communication over the Internet is subject to possible interception, alteration or loss.

Vallee Forestry Equipment reserves all rights not expressly granted in these Terms & Conditions. Nothing contained in these Terms & Conditions shall be construed as conferring any license or right under any copyright, patent, trademark or other intellectual property right of Vallee Forestry Equipment or any other person or entity.

Autonomous Provisions

If any provision of these Terms & Conditions is found to be invalid, in whole or in part, by any judgment of any court having competent jurisdiction, such invalid provision or portion shall be ineffective to the fullest extent permitted by law, without affecting the validity of the remaining provisions of these Terms & Conditions or their validity in any other jurisdiction.

Policy Interpretation

The section and headings of these Terms & Conditions are for information purposes only and do not affect the interpretation of these Terms & Conditions.

In these Terms & Conditions, the masculine shall include the feminine and the singular the plural when the context so requires. Words designating persons apply to individuals, sole proprietors, partnerships, companies, trusts and unincorporated associations.

Complete Agreement & Waiver

These Terms & Conditions and any other legal notices appearing on the Sites constitute the entire agreement between you and Vallee Forestry Equipment and govern your use of the Sites and the materials and services contained therein. You may also be subject to additional terms and conditions specific to certain services, in particular when you subscribe to the advertiser, dealer or other services offered on the Sites.

Vallee Forestry Equipment’s failure to exercise its rights under these Terms & Conditions shall not constitute a waiver if such rights. No waiver of any provision of these Terms & conditions shall be binding upon or have any effect against Vallee Forestry Equipment unless such a waiver is in writing and signed by Vallee Forestry Equipment. No waiver of any provision of these Terms & Conditions shall constitute a waiver of any other provision and no such waiver shall constitute a continuing waiver unless expressly provided.

Survival

These Terms & Conditions are for your benefit and that of Vallee Forestry Equipment. These Terms & Conditions shall be binding upon you and Vallee Forestry Equipment and your successors and assigns and those of Vallee Forestry Equipment.

These Terms & Conditions apply while you are accessing the Sites and remain in effect thereafter, subject to any modifications that may be made. If you no longer have access to the Sites, the provisions of these Terms & Conditions relating to the exclusion of warranties, limitation of liability and copyright shall survive thereafter.

Modifications to the Terms & Conditions

Vallee Forestry Equipment may modify, alter or otherwise update the Terms & Conditions applicable to the Sites from time to time, without notice, and you agree to be bound by such terms as are in effect at the time at which you access the Sites.
